IMPORTANT LEGAL NOTICE

This Intellectual Property, Celebrity Rights, Copyright, Trademark, and Takedown Policy (“Policy”) governs:

  • all content,
  • listings,
  • Inventory,
  • media,
  • imagery,
  • branding,
  • descriptions,
  • uploads,
  • marketplace activities,
  • and associated commercial conduct
    undertaken upon or through the Platform.

This Policy forms an integral and binding part of the Platform Terms & Conditions, Seller Agreements, Rental Terms, Storage Agreements, Managed Services Agreements, and all associated operational frameworks.

By accessing or using the Platform, all Users expressly acknowledge and agree to comply with this Policy.

  • and digital infrastructure.

2. OBJECTIVE OF POLICY

The objective of this Policy is to:

  • protect intellectual property rights;
  • protect celebrity and publicity rights;
  • prevent unauthorized commercial exploitation;
  • prevent counterfeit and infringing activity;
  • establish intermediary compliance mechanisms;
  • provide notice-and-takedown procedures;
  • reduce unlawful commercial usage of protected materials;
  • establish operational enforcement powers;
  • preserve legal safe-harbour protections under Applicable Law.

3. DEFINITIONS

For purposes of this Policy:

3.1 “Intellectual Property Rights” or “IP Rights”

shall include:

  • copyrights,
  • trademarks,
  • service marks,
  • trade dress,
  • design rights,
  • publicity rights,
  • personality rights,
  • performer rights,
  • merchandising rights,
  • film rights,
  • literary rights,
  • artistic rights,
  • moral rights,
  • database rights,
  • software rights,
  • trade secrets,
  • proprietary rights,
  • and all analogous rights under Applicable Law.

3.2 “Protected Material”

shall include:

  • copyrighted content,
  • celebrity references,
  • film costumes,
  • designer creations,
  • production assets,
  • brand identifiers,
  • logos,
  • photographs,
  • media,
  • campaign imagery,
  • fictional characters,
  • signatures,
  • likenesses,
  • voice references,
  • stylized identities,
  • and associated proprietary material.

3.3 “Celebrity Rights”

shall include:

  • publicity rights,
  • personality rights,
  • image rights,
  • commercial likeness rights,
  • endorsement rights,
  • performer rights,
  • and rights arising from commercial association with public figures.

3.4 “Counterfeit Goods”

shall mean Inventory falsely represented as:

  • authentic,
  • branded,
  • licensed,
  • endorsed,
  • designer-originated,
  • or commercially authorized.

4. PLATFORM POSITIONING AND INTERMEDIARY STATUS

The Platform may function as:

  • an intermediary marketplace,
  • a technology platform,
  • a logistics facilitator,
  • a managed inventory ecosystem,
  • a warehousing and storage operator,
  • and a digital cataloging infrastructure.

The Company:

  • does not independently pre-screen every listing;
  • does not guarantee legality of third-party listings;
  • does not guarantee authenticity of all third-party Inventory;
  • may rely upon Seller representations and documentation.

All Sellers remain solely and absolutely responsible for:

  • legality,
  • ownership,
  • authenticity,
  • licensing,
  • commercialization rights,
  • and IP compliance.

5. STRICT PROHIBITION ON INFRINGING ACTIVITIES

Users shall not upload, list, advertise, rent, sell, distribute, store, market, or otherwise commercialize Inventory or content infringing:

  • copyrights;
  • trademarks;
  • publicity rights;
  • personality rights;
  • performer rights;
  • merchandising rights;
  • film rights;
  • design rights;
  • studio rights;
  • proprietary branding rights;
  • image rights;
  • character rights;
  • or any other third-party IP Rights.

6. FILM, OTT, STUDIO & PRODUCTION HOUSE CONTENT

6.1 Unauthorized Commercialization Prohibited

Users shall not commercially exploit:

  • film costumes,
  • production assets,
  • OTT wardrobe,
  • studio-owned costumes,
  • branded character outfits,
  • or production-linked merchandise
    without lawful authorization.

6.2 Mandatory Seller Responsibility

Sellers dealing in:

  • film wardrobe,
  • celebrity-linked garments,
  • production inventory,
  • designer collections,
  • branded merchandise,
    must possess:
  • ownership rights,
    OR
  • lawful commercialization authorization,
    OR
  • production house approvals,
    OR
  • licensing rights.

6.3 NOC Requirement

The Company may require:

  • production house NOCs;
  • studio approvals;
  • designer authorizations;
  • invoices;
  • chain-of-title documents;
  • authenticity certificates;
  • commercialization rights proof;
  • licensing proof;
    at any stage whatsoever.

Failure to provide satisfactory documentation may result in:

  • immediate takedown;
  • suspension;
  • payment holds;
  • permanent account termination;
  • legal escalation.

7. CELEBRITY RIGHTS & PUBLICITY RIGHTS

7.1 No Unauthorized Association

Users shall not:

  • falsely imply celebrity endorsement;
  • falsely imply celebrity association;
  • use celebrity names misleadingly;
  • commercially exploit likenesses unlawfully;
  • create misleading endorsements;
  • misrepresent affiliations.

7.2 Descriptive References

Permissible references to celebrities, films, productions, or designers shall be:

  • descriptive only;
  • non-misleading;
  • non-defamatory;
  • and compliant with Applicable Law.

7.3 No Platform Endorsement Representation

Unless expressly stated:

  • no celebrity,
  • actor,
  • designer,
  • film,
  • production house,
  • studio,
  • OTT platform,
  • or brand
    endorses or affiliates with the Platform.

8. COPYRIGHT PROTECTION

Users shall not upload or distribute:

  • copyrighted photographs;
  • copyrighted videos;
  • protected promotional materials;
  • campaign assets;
  • lookbooks;
  • editorial content;
  • proprietary media;
    without lawful authorization.

9. TRADEMARK PROTECTION

Users shall not:

  • misuse trademarks;
  • misuse logos;
  • use misleading branding;
  • imitate luxury brands;
  • create confusing similarity;
  • falsely represent authenticity;
  • misuse protected brand names.

The Company reserves rights to remove listings creating:

  • trademark confusion,
  • passing off,
  • false affiliation,
  • or dilution risk.

10. DESIGNER RIGHTS & FASHION RIGHTS

The Platform recognizes that:

  • designer garments,
  • couture,
  • fashion constructions,
  • textile works,
  • patterns,
  • embroidery,
  • and artistic garment elements
    may attract legal protections under Applicable Law.

Users shall not unlawfully commercialize protected designer works.

11. COUNTERFEIT GOODS POLICY

11.1 Zero-Tolerance Policy

The Platform maintains a strict zero-tolerance policy toward counterfeit goods.

The Company reserves rights to:

  • remove listings;
  • suspend accounts;
  • freeze settlements;
  • preserve evidence;
  • cooperate with authorities;
  • disclose records;
  • initiate legal proceedings.

11.2 Seller Responsibility

Sellers are solely responsible for:

  • authenticity;
  • lawful sourcing;
  • title;
  • commercialization rights;
  • invoices;
  • and associated documentation.

12. PLATFORM CONTENT OWNERSHIP

All:

  • photographs,
  • edited images,
  • AI-generated content,
  • visual layouts,
  • campaign assets,
  • catalogs,
  • metadata,
  • QR-linked imagery,
  • branding,
  • operational systems,
  • descriptions,
  • platform structures,
    remain protected intellectual property of the Company and/or respective licensors.

13. WATERMARKS, QR IDENTIFIERS & METADATA

Users shall not:

  • remove watermarks;
  • tamper with metadata;
  • remove QR references;
  • crop proprietary identifiers;
  • manipulate attribution systems;
  • disable embedded identification systems.

14. AI, SCRAPING & DATASET RESTRICTIONS

Users shall not use Platform content for:

  • machine learning;
  • AI training;
  • generative AI;
  • synthetic dataset creation;
  • model fine-tuning;
  • scraping;
  • automated extraction;
    without prior written consent.

Automated crawling, bots, scraping, and dataset harvesting are strictly prohibited.

15. NOTICE AND TAKEDOWN PROCEDURE

15.1 Filing Complaints

Rights holders may submit complaints regarding:

  • copyright infringement;
  • trademark misuse;
  • counterfeit goods;
  • celebrity rights violations;
  • publicity rights violations;
  • unlawful commercialization.

Complaints must include:

  • identity of complainant;
  • proof of authority;
  • details of alleged infringement;
  • URL/listing references;
  • supporting evidence;
  • declaration of good-faith belief.

15.2 Company Rights

Upon receipt of complaints, the Company may:

  • investigate;
  • request documentation;
  • temporarily disable listings;
  • suspend accounts;
  • remove content;
  • preserve records;
  • cooperate with authorities;
  • request counter-notices.

The Company reserves sole discretion regarding interim actions.

16. REPEAT INFRINGER POLICY

The Company reserves rights to:

  • permanently suspend repeat infringers;
  • blacklist Users;
  • restrict future access;
  • preserve evidence;
  • refuse future onboarding.

17. NO WAIVER OF RIGHTS

Failure by the Company to enforce any provision shall not constitute waiver of rights.

18. LIMITATION OF LIABILITY

To the fullest extent permissible under Applicable Law:

  • the Company shall not be liable for third-party infringement conducted by Users;
  • the Company does not guarantee non-infringement of all listings;
  • Users remain solely responsible for uploaded content and Inventory.

19. INDEMNITY

Users irrevocably agree to indemnify and hold harmless the Company against all:

  • infringement claims;
  • publicity rights claims;
  • trademark disputes;
  • copyright disputes;
  • counterfeit claims;
  • designer disputes;
  • studio claims;
  • production house claims;
  • celebrity claims;
  • regulatory actions;
    arising from User conduct or listings.

20. GOVERNING LAW & JURISDICTION

This Policy shall be governed by the laws of India.

Courts situated at Mumbai shall possess exclusive jurisdiction.
