IMPORTANT LEGAL NOTICE
These Rental Terms, Damage, Security Deposit & Liability Framework (“Rental Terms”) govern:
- rentals,
- reservations,
- bookings,
- temporary possession,
- handling,
- usage,
- returns,
- late returns,
- deposits,
- liability,
- logistics,
- operational risk allocation,
- and associated transactions
conducted through the Platform.
These Rental Terms form an integral and binding part of:
- Platform Terms & Conditions,
- Seller Agreements,
- Managed Services Agreements,
- Storage Terms,
- Operational Policies,
- and associated Platform documentation.
By renting, reserving, receiving, possessing, using, transporting, or returning Inventory through the Platform, the Customer expressly agrees to be legally bound by these Rental Terms.
1. DEFINITIONS
1.1 “Customer”
shall mean any person:
- renting,
- reserving,
- possessing,
- receiving,
- or using Inventory through the Platform.
1.2 “Inventory”
shall include:
- garments,
- costumes,
- couture,
- accessories,
- footwear,
- props,
- jewelry,
- designer merchandise,
- bridal wear,
- luxury items,
- and associated rentable assets.
1.3 “Rental Period”
shall mean the duration for which Inventory is rented as determined by:
- booking confirmation,
- dispatch date,
- return date,
- or operational records maintained by the Company.
1.4 “Security Deposit”
shall mean refundable or partially refundable amounts collected to secure:
- return obligations,
- damage risks,
- late return risks,
- misuse risks,
- operational losses,
- and associated liabilities.
1.5 “Damage”
shall include:
- stains,
- tears,
- burns,
- missing accessories,
- structural damage,
- odor damage,
- unauthorized alterations,
- water damage,
- irreversible deterioration,
- excessive wear,
- and any condition reducing commercial usability.
2. NATURE OF RENTAL TRANSACTION
The Customer acknowledges and agrees that:
- rentals constitute temporary commercial usage rights only;
- ownership of Inventory remains with the lawful owner;
- no title or ownership transfers to the Customer;
- the Customer acquires limited revocable possession rights solely for the approved Rental Period.
3. CONDITION OF INVENTORY
3.1 Pre-Rental Condition
The Customer acknowledges that:
- Inventory may have undergone prior rentals;
- slight wear consistent with commercial rental usage may exist;
- variations in texture, color, embroidery, fitting, or appearance may occur due to:
- photography,
- lighting,
- display calibration,
- alterations,
- fabric behavior,
- or operational handling.
3.2 Professional Maintenance
Inventory may undergo:
- dry cleaning,
- steaming,
- laundering,
- restoration,
- repairs,
- sanitization,
- preservation treatment,
- and operational quality control.
The Company does not guarantee:
- factory-new condition,
- perfect fit,
- identical color perception,
- or absence of minor commercially acceptable wear.
4. RENTAL BOOKINGS
4.1 Booking Confirmation
Bookings shall be confirmed only upon:
- successful payment,
- operational approval,
- inventory availability,
- and internal verification.
The Company reserves unrestricted rights to:
- reject bookings;
- cancel bookings;
- substitute inventory;
- refuse transactions;
- or limit services,
without assigning reasons where operationally necessary.
4.2 Availability Risks
Inventory availability may be impacted by:
- prior bookings,
- damages,
- logistics disruptions,
- operational constraints,
- late returns,
- force majeure events,
- or quality control failures.
The Company does not guarantee uninterrupted availability of all listed Inventory.
5. CUSTOMER RESPONSIBILITIES
The Customer shall:
- exercise reasonable care;
- avoid misuse;
- prevent avoidable damage;
- avoid exposure to hazardous conditions;
- avoid unauthorized alterations;
- prevent theft or loss;
- comply with return timelines.
The Customer shall not:
- sub-rent Inventory;
- commercially exploit Inventory without authorization;
- unlawfully modify Inventory;
- remove labels, tags, QR identifiers, or embedded identifiers;
- intentionally damage Inventory.
6. SECURITY DEPOSITS
6.1 Collection of Deposits
The Company may collect Security Deposits based upon:
- Inventory value;
- rental category;
- event risk;
- luxury classification;
- operational risk;
- customer history;
- and internal risk assessment.
6.2 Purpose of Deposits
Security Deposits may secure:
- late return liabilities;
- damage liabilities;
- loss liabilities;
- operational recovery costs;
- cleaning costs;
- replacement costs;
- logistics costs;
- legal liabilities.
6.3 Refundability
Deposits may be:
- fully refundable;
- partially refundable;
- adjusted;
- withheld;
subject to: - inspection outcomes;
- operational assessments;
- damage evaluation;
- return timelines;
- and outstanding liabilities.
6.4 Adjustment Rights
The Company reserves rights to deduct from Security Deposits:
- damage charges;
- repair charges;
- restoration costs;
- cleaning charges;
- late penalties;
- replacement costs;
- logistics costs;
- legal recovery costs;
- and operational losses.
7. DAMAGE ASSESSMENT FRAMEWORK
7.1 Inspection Rights
All returned Inventory may undergo:
- physical inspection;
- quality control review;
- photography;
- digital logging;
- expert review;
- operational assessment.
7.2 Binding Operational Determination
The Customer acknowledges and agrees that:
- operational quality control systems;
- inspection reports;
- photographs;
- metadata;
- warehouse logs;
- digital records;
- and expert evaluations
may form the basis of damage determination.
Such determinations shall ordinarily be binding absent manifest error or fraud.
7.3 Categories of Damage
Damage may include:
(a) Minor Damage
Commercially repairable or cleanable issues.
(b) Repairable Damage
Damage requiring:
- tailoring,
- repair,
- restoration,
- or specialist treatment.
(c) Major Damage
Damage materially affecting:
- structure,
- design,
- usability,
- commercial rental viability,
- or luxury value.
(d) Total Loss
Inventory rendered:
- irrecoverable,
- commercially unusable,
- missing,
- destroyed,
- counterfeit-substituted,
- or permanently damaged.
7.4 Assessment Basis
Damage recovery may be determined based upon:
- replacement value;
- repair costs;
- restoration costs;
- market value;
- luxury value;
- designer value;
- insured value;
- declared value;
- loss of rental opportunity;
- operational impact.
8. LOSS, THEFT & NON-RETURN
8.1 Customer Liability
The Customer shall remain fully liable for:
- theft,
- disappearance,
- non-return,
- unauthorized retention,
- or loss of Inventory while under Customer possession or control.
8.2 Total Loss Recovery
Where Inventory is:
- lost,
- stolen,
- irrecoverably damaged,
- or not returned,
the Company may recover: - full replacement value;
- designer value;
- restoration value;
- associated operational losses;
- legal costs;
- and recovery expenses.
8.3 Fraudulent Conduct
The Company reserves rights to:
- initiate civil proceedings;
- initiate criminal complaints;
- preserve evidence;
- cooperate with authorities;
- freeze accounts;
- and blacklist Users
in cases involving: - fraud,
- theft,
- intentional misuse,
- inventory substitution,
- or unlawful retention.
9. LATE RETURNS
9.1 Time-Sensitive Nature
The Customer acknowledges that rentals are operationally time-sensitive and dependent upon:
- sequential bookings;
- event scheduling;
- logistics commitments;
- and inventory circulation cycles.
9.2 Late Return Penalties
The Company may impose:
- late fees;
- additional rental charges;
- operational penalties;
- replacement liabilities;
- compensation claims;
- or deposit deductions
for delayed returns.
9.3 Extended Unauthorized Retention
Where Inventory is not returned within commercially reasonable periods, the Company may treat such conduct as:
- unlawful retention;
- conversion;
- or misappropriation,
and pursue civil and criminal remedies.
10. DELIVERY, LOGISTICS & TRANSIT
The Company may utilize:
- third-party logistics providers;
- warehouse systems;
- dispatch systems;
- operational partners.
Delivery timelines are estimates only.
The Company shall not be liable for delays arising from:
- logistics disruptions;
- traffic;
- weather;
- force majeure;
- operational constraints;
- or third-party failures.
11. EVENT-SENSITIVE DISCLAIMER
The Customer acknowledges that:
- weddings,
- shoots,
- productions,
- events,
- ceremonies,
- and functions
may involve time-sensitive requirements.
The Company does not guarantee:
- uninterrupted event suitability;
- exact styling expectations;
- celebrity association expectations;
- or event outcomes.
12. DIGITAL RECORDS & ELECTRONIC EVIDENCE
The Customer expressly agrees that:
- QR scans;
- timestamps;
- dispatch logs;
- warehouse scans;
- CCTV footage;
- photographs;
- metadata;
- operational logs;
- and electronic records
shall constitute legally admissible evidence under Applicable Law.
13. LIMITATION OF LIABILITY
To the fullest extent permissible under Applicable Law, the Company shall not be liable for:
- indirect losses;
- emotional distress;
- reputational harm;
- event disruption;
- styling dissatisfaction;
- fit dissatisfaction;
- missed ceremonies;
- business interruption;
- consequential damages;
- third-party misconduct;
- logistics delays;
- operational disruptions.
Aggregate liability shall not exceed the rental fees actually received by the Company for the relevant transaction.
14. FORCE MAJEURE
The Company shall not be liable for delays or failures arising from:
- floods;
- fires;
- warehouse incidents;
- pandemics;
- transport failures;
- cyberattacks;
- governmental restrictions;
- riots;
- labor disruptions;
- internet failures;
- or events beyond reasonable control.
15. INDEMNITY
The Customer irrevocably agrees to indemnify and hold harmless the Company against:
- misuse claims;
- damage claims;
- third-party liabilities;
- unlawful conduct;
- event liabilities;
- infringement claims;
- and losses arising from Customer conduct.
16. TERMINATION & SUSPENSION RIGHTS
The Company reserves unrestricted rights to:
- suspend rentals;
- refuse bookings;
- terminate accounts;
- freeze deposits;
- withhold refunds;
- and deny future access
where reasonably necessary for: - fraud prevention;
- operational protection;
- legal compliance;
- or risk mitigation.
17. GOVERNING LAW & ARBITRATION
These Rental Terms shall be governed by the laws of India.
Disputes shall first attempt resolution through good-faith negotiations.
Failing resolution:
- disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996;
- seat and venue: Mumbai;
- language: English.
Courts situated at Mumbai shall possess exclusive supervisory jurisdiction.
