IMPORTANT LEGAL NOTICE
These Storage, Warehousing & Bailment Terms (“Storage Terms”) govern:
- storage services;
- warehousing services;
- managed custody;
- inventory intake;
- logistics;
- operational handling;
- QR tagging;
- digitization;
- enterprise inventory management;
- archival storage;
- and associated custodial services
provided by the Company.
These Storage Terms constitute a legally binding and enforceable agreement between the Company and all:
- storage clients;
- sellers;
- production houses;
- studios;
- enterprises;
- designers;
- stylists;
- inventory owners;
- logistics users;
- and associated parties
utilizing storage or warehousing services.
These Storage Terms form an integral part of:
- Platform Terms & Conditions;
- Seller Agreements;
- Managed Services Agreements;
- Rental Terms;
- Operational Policies;
- Warehouse SOPs;
- and associated contractual frameworks.
1. COMPANY DETAILS
These services are operated by:

The Company may operate through:
- affiliates;
- subsidiaries;
- warehouse partners;
- logistics providers;
- operational entities;
- storage facilities;
- and associated infrastructure.
2. DEFINITIONS
2.1 “Bailment”
shall refer to the legal relationship created when Inventory is delivered into the custody or operational control of the Company for storage, handling, transportation, management, or associated services under Applicable Law.
2.2 “Bailor”
shall mean the lawful owner, consignor, storage client, Seller, enterprise, production house, stylist, designer, or entity delivering Inventory to the Company.
2.3 “Bailee”
shall mean the Company acting in the capacity of custodian, warehouse operator, logistics operator, or managed services provider.
2.4 “Inventory”
shall include:
- garments;
- costumes;
- couture;
- bridal wear;
- luxury goods;
- props;
- accessories;
- footwear;
- jewelry;
- archival materials;
- textiles;
- enterprise inventory;
- film wardrobe;
- production assets;
- and associated movable commercial assets.
2.5 “Managed Services”
shall include:
- warehousing;
- storage;
- inventory intake;
- QR tagging;
- photography;
- digitization;
- cataloging;
- logistics;
- dispatch;
- fulfillment;
- reverse logistics;
- quality control;
- preservation handling;
- restoration coordination;
- and operational management.
2.6 “Warehouse”
shall mean any:
- warehouse;
- storage facility;
- operational premises;
- inventory management facility;
- logistics facility;
- archival facility;
- or associated operational location
utilized by or on behalf of the Company.
3. NATURE OF STORAGE RELATIONSHIP
3.1 Bailment Relationship
The Parties expressly acknowledge that storage arrangements may constitute relationships of bailment under Applicable Law.
The Company ordinarily acts as:
- custodian;
- bailee;
- warehouse operator;
- storage facilitator;
- operational manager.
3.2 No Transfer of Ownership
Delivery of Inventory to the Company shall not transfer:
- ownership;
- title;
- proprietary rights;
- commercialization rights;
- intellectual property rights;
unless expressly agreed in writing.
Ownership shall remain with the lawful owner.
3.3 Operational Control
Upon intake and operational acceptance, the Company may exercise reasonable operational control over:
- storage location assignment;
- movement;
- cataloging;
- tagging;
- logistics handling;
- quality inspection;
- and operational management.
4. INVENTORY INTAKE PROCEDURES
4.1 Intake Rights
The Company reserves unrestricted rights to:
- inspect Inventory;
- reject Inventory;
- photograph Inventory;
- categorize Inventory;
- digitize Inventory;
- assign QR identifiers;
- map storage locations;
- record metadata;
- and conduct operational intake procedures.
4.2 Conditional Acceptance
Acceptance of Inventory into storage:
- does not constitute authentication;
- does not constitute legality verification;
- does not constitute ownership verification;
- does not constitute commercial approval.
The Bailor remains solely responsible for:
- ownership;
- legality;
- authenticity;
- and commercialization rights.
4.3 Inventory Documentation
The Company may require:
- invoices;
- ownership proof;
- chain-of-title documents;
- authenticity certificates;
- production house NOCs;
- insurance records;
- valuation declarations;
- and associated documentation.
5. QR TAGGING, DIGITAL RECORDS & ELECTRONIC EVIDENCE
5.1 QR Systems
Inventory may be assigned:
- QR identifiers;
- barcode systems;
- digital inventory references;
- metadata mappings;
- and warehouse location references.
5.2 Operational Records
The Company may maintain:
- intake scans;
- dispatch scans;
- timestamps;
- warehouse logs;
- CCTV footage;
- GPS logs;
- metadata records;
- audit trails;
- digital inventory records;
- operational photographs.
5.3 Admissibility of Electronic Evidence
The Bailor expressly acknowledges and agrees that:
- QR scans;
- metadata;
- timestamps;
- dispatch logs;
- warehouse records;
- CCTV footage;
- photographs;
- digital audit trails;
- and operational records
shall constitute legally admissible evidence under: - the Information Technology Act, 2000;
- applicable evidentiary laws;
- and Applicable Law generally.
6. STORAGE CONDITIONS & OPERATIONAL HANDLING
6.1 Operational Standards
The Company shall utilize commercially reasonable operational standards in relation to:
- inventory handling;
- warehousing;
- operational storage;
- and logistics coordination.
6.2 Environmental Conditions
The Bailor acknowledges that warehousing environments may be affected by:
- humidity;
- climate variations;
- fabric aging;
- natural deterioration;
- handling cycles;
- operational movement;
- dust;
- lighting exposure;
- environmental factors;
- and commercially unavoidable wear.
The Company does not guarantee museum-grade preservation unless expressly agreed in writing.
6.3 Preservation Limitations
The Company shall not be liable for:
- inherent material defects;
- natural aging;
- deterioration over time;
- fabric weakening;
- adhesive degradation;
- oxidation;
- color fading;
- embroidery deterioration;
- pest exposure despite reasonable measures;
- commercially unavoidable environmental effects.
7. PROHIBITED INVENTORY
The Bailor shall not store:
- illegal goods;
- hazardous materials;
- flammable substances;
- explosives;
- contraband;
- counterfeit goods;
- biologically hazardous materials;
- narcotics;
- unlawful merchandise;
- or inventory prohibited under Applicable Law.
The Company reserves unrestricted rights to:
- refuse storage;
- remove prohibited Inventory;
- notify authorities;
- preserve evidence;
- terminate services.
8. STORAGE FEES, CHARGES & RECOVERIES
8.1 Applicable Charges
The Company may levy:
- storage fees;
- warehousing charges;
- handling charges;
- cataloging charges;
- photography charges;
- restoration costs;
- packaging costs;
- logistics charges;
- disposal costs;
- operational recovery charges.
8.2 Payment Obligations
All fees shall become immediately due as per:
- invoices;
- commercial schedules;
- storage agreements;
- operational billing cycles.
Delayed payments may attract:
- interest;
- penalties;
- operational restrictions;
- suspension of release rights.
9. LIEN RIGHTS
9.1 Contractual Lien
The Bailor expressly grants the Company a continuing contractual lien over all Inventory in Company custody for:
- unpaid dues;
- storage charges;
- warehousing fees;
- operational recoveries;
- restoration costs;
- legal expenses;
- penalties;
- and associated liabilities.
9.2 Retention Rights
The Company reserves unrestricted rights to:
- retain possession;
- deny release;
- suspend movement;
- withhold dispatch;
until outstanding obligations are satisfied.
10. ABANDONED INVENTORY & DISPOSAL RIGHTS
10.1 Abandonment
Inventory may be deemed abandoned where:
- dues remain unpaid beyond commercially reasonable periods;
- the Bailor becomes unreachable;
- collection obligations are repeatedly ignored;
- or operational abandonment is reasonably inferred.
10.2 Disposal Rights
The Company reserves rights, subject to Applicable Law, to:
- liquidate Inventory;
- dispose of Inventory;
- auction Inventory;
- destroy unusable Inventory;
- recover dues from sale proceeds.
The Bailor waives claims arising from commercially reasonable disposal actions.
11. LOSS, DAMAGE & LIABILITY FRAMEWORK
11.1 Commercial Handling Risks
The Bailor acknowledges that Inventory may be exposed to:
- operational handling;
- transportation movement;
- commercial storage cycles;
- customer usage;
- restoration procedures;
- environmental exposure;
- force majeure events.
11.2 Liability Exclusions
The Company shall not be liable for:
- inherent defects;
- ordinary wear and tear;
- natural deterioration;
- fabric aging;
- hidden weaknesses;
- environmental effects despite reasonable measures;
- force majeure events;
- third-party misconduct;
- cyber incidents;
- operational disruptions.
11.3 Insurance
Insurance shall not automatically apply unless expressly agreed.
The Bailor is strongly advised to maintain independent insurance coverage.
11.4 Declared Values
The Company may rely upon:
- declared values;
- insured values;
- invoices;
- operational assessments;
for liability calculations.
11.5 Liability Cap
To the fullest extent permissible under Applicable Law, aggregate liability of the Company shall not exceed:
- declared value;
OR - insured value;
OR - actual commercial recovery value,
whichever is lower.
12. QUALITY CONTROL & OPERATIONAL DETERMINATIONS
The Bailor acknowledges that:
- warehouse inspections;
- QC assessments;
- operational evaluations;
- metadata;
- photographs;
- digital logs;
- audit trails;
may form the basis of operational determinations.
Such determinations shall ordinarily be binding absent manifest error.
13. CONFIDENTIALITY
The Company may receive confidential:
- commercial information;
- inventory information;
- production data;
- archival information;
- business records;
- styling references;
- enterprise data.
Both Parties shall maintain commercially reasonable confidentiality obligations.
14. FORCE MAJEURE
The Company shall not be liable for delays, failures, or losses arising from:
- floods;
- fires;
- warehouse incidents;
- riots;
- governmental restrictions;
- pandemics;
- cyberattacks;
- infrastructure failures;
- logistics disruptions;
- labor shortages;
- force majeure events;
- or circumstances beyond reasonable control.
15. INDEMNITY
The Bailor irrevocably agrees to indemnify and hold harmless the Company against:
- ownership disputes;
- counterfeit claims;
- infringement claims;
- celebrity rights disputes;
- unlawful inventory claims;
- regulatory actions;
- tax liabilities;
- and losses arising from Bailor conduct or Inventory.
16. TERMINATION & SUSPENSION RIGHTS
The Company reserves unrestricted rights to:
- suspend services;
- freeze inventory movement;
- deny release;
- terminate storage arrangements;
- preserve evidence;
- cooperate with authorities;
where reasonably necessary for: - legal compliance;
- fraud prevention;
- operational protection;
- risk mitigation;
- IP protection.
17. GOVERNING LAW & ARBITRATION
These Storage Terms shall be governed by the laws of India.
Disputes shall first attempt resolution through good-faith negotiations.
Failing resolution:
- disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996;
- seat and venue: Mumbai;
- language: English.
Courts situated at Mumbai shall possess exclusive supervisory jurisdiction.
