These Seller / Vendor Terms ("Seller Terms") govern participation by sellers, vendors, consignors, inventory owners, designers, stylists, production houses and other supply-side participants (collectively, "Seller") using the CostumePeti Platform Network.
These Seller Terms apply to:
- CostumePeti.com
- Vault.Fashion
- Vault.Wedding
- Vault.Luxury
- Seller Central by CostumePeti
These Seller Terms supplement and incorporate by reference:
- Terms of Service
- Privacy Policy
- Rental Terms
- Damage & Deposit Assessment Policy (including Schedules A–D where applicable)
- All platform policies, seller program rules, fee schedules and operating standards
1. RELATIONSHIP OF PARTIES
Seller participates as an independent merchant, consignor, inventory owner or service provider.
Nothing in these Terms creates:
- Partnership
- Joint venture
- Franchise
- Employment relationship
- Fiduciary relationship
Except where expressly stated, Seller acts as independent business operator.
2. NATURE OF PLATFORM
Platform may act as:
- Marketplace operator
- Rental facilitator
- Technology intermediary
- Payment facilitator
- Storage and logistics provider
- Principal reseller in designated programs
Platform role may vary by transaction.
3. ELIGIBILITY AND ONBOARDING
Seller may be required to provide:
- Business identity documentation
- Government registrations
- GST / tax information
- Banking and payout details
- Brand authorization documentation
- Inventory ownership verification
- KYC / compliance information
Platform may approve, reject or condition participation.
4. SELLER ACCOUNT RESPONSIBILITIES
Seller is responsible for:
- Account credentials
- Authorized users
- Portal activity
- Data accuracy
- Inventory information
- Compliance with seller standards
Seller remains responsible for activity under account.
5. INVENTORY REPRESENTATIONS
Seller represents all inventory:
- Is lawfully owned or authorized
- Is authentic where represented
- Is not counterfeit or infringing
- Is accurately described
- Complies with applicable law
- Is fit for listing under platform standards
Seller bears responsibility for false or misleading listings.
6. INVENTORY LISTINGS
Seller is responsible for:
- Titles
- Descriptions
- Pricing
- Rental rates
- Availability
- Specifications
- Condition disclosures
- Care requirements
Platform may moderate or remove listings.
7. CROSS-LISTING RIGHTS
Seller acknowledges platform may syndicate, promote or cross-list eligible inventory across affiliated properties, channels, campaigns and network sites, subject to applicable program rules.
8. INVENTORY OWNERSHIP / CONSIGNMENT
Unless otherwise agreed:
Seller retains ownership of seller-owned inventory.
Separate consignment or managed inventory programs may be governed by supplemental agreements.
9. RENTAL INVENTORY RESPONSIBILITIES
For rental inventory Seller agrees to:
- Provide rental-ready inventory
- Meet condition standards
- Support lifecycle standards
- Comply with cleaning and repair protocols
Inventory may be rejected or suspended for quality failures.
10. QUALITY STANDARDS
Platform may reject inventory that:
- Fails QC
- Is unsafe
- Is damaged beyond acceptable standard
- Violates hygiene or presentation standards
- Is materially misrepresented
Platform quality determinations may govern participation.
11. PRICING
Seller may set or participate in setting:
- Sale pricing
- Rental pricing
- Deposits where applicable
- Promotions subject to program rules
Platform may impose pricing controls in designated programs.
12. FEES AND COMMISSIONS
Seller agrees platform may charge:
- Commissions
- Subscription fees
- Storage fees
- Service fees
- Payment processing deductions
- Logistics deductions
- Other disclosed fees

13. PAYOUTS AND SETTLEMENTS
Payouts may be subject to:
- Order completion
- Rental return completion
- Deposit resolution
- Fraud review
- Chargeback reserves
- Applicable deductions
See Schedule D.
14. TAX RESPONSIBILITIES
Seller is solely responsible for:
- GST / VAT obligations
- Tax filings
- Income reporting
- Compliance obligations relating to earnings
15. STORAGE & WAREHOUSING
Where inventory enters storage or managed programs:
Seller acknowledges:
- Warehouse operating standards apply
- Inventory handling protocols apply
- Tracking/QR systems may be used
- Separate storage terms may apply
16. DAMAGE / LOSS / CLAIMS
Damage and loss matters may be handled under:
- Rental Terms
- Damage & Deposit Policy
- Claims procedures
- Seller compensation procedures
Platform may administer claims on behalf of sellers.
17. REPAIRS AND MAINTENANCE
Platform may coordinate:
- Repairs
- Restoration
- Cleaning
- Maintenance decisions under applicable programs
18. FULFILLMENT OBLIGATIONS
Seller agrees to fulfill obligations timely and accurately.
Repeated failures may lead to:
- Restrictions
- Penalties
- Suspension
19. PROHIBITED SELLER CONDUCT
Seller may not:
- Sell counterfeit goods
- Misrepresent inventory
- Circumvent fees
- Manipulate reviews
- Divert customers off-platform improperly
- Commit fraud
- Abuse buyers or platform personnel
Violations may result in termination.
20. CUSTOMER RELATIONSHIPS
Customer relationships generated through the platform remain subject to platform policies.
Unauthorized circumvention may be prohibited.
21. CHARGEBACKS / FRAUD / OFFSETS
Platform may:
- Investigate disputes
- Reverse payouts where justified
- Offset amounts due
- Hold reserves where reasonably necessary
22. INTELLECTUAL PROPERTY LICENSE
Seller grants platform a non-exclusive license to use:
- Product photos
- Listing content
- Brand assets provided
- Inventory content
for:
- Listings
- Promotion
- Merchandising
- Marketing
Seller warrants rights to such materials.
23. PLATFORM RIGHTS
Platform may:
- Remove listings
- Suspend sellers
- Hold reserves
- Modify programs
- Restrict categories
- Adjust risk controls
24. PERFORMANCE STANDARDS
Seller may be evaluated on:
- Fulfillment performance
- Inventory quality
- Cancellation rates
- Dispute rates
- Compliance performance

25. SUSPENSION AND TERMINATION
Platform may suspend or terminate participation for:
- Policy violations
- Fraud risk
- Counterfeit concerns
- Performance failures
- Compliance breaches
Obligations accrued survive termination.
26. CONFIDENTIALITY
Seller agrees not to disclose non-public platform information including:
- Pricing structures
- Operational processes
- Proprietary systems
- Non-public data
27. INDEMNIFICATION
Seller agrees to indemnify platform from claims arising from:
- Seller conduct
- Inventory claims
- IP infringement
- Legal violations
- Product or compliance claims
28. LIMITATION OF LIABILITY
To maximum extent permitted by law:
Platform shall not be liable for:
- Indirect damages
- Lost profits
- Business interruption
- Opportunity losses
Nothing excludes liability that cannot legally be excluded.
29. INSURANCE
Certain sellers or programs may require:
- Inventory insurance
- Commercial liability coverage
- Additional protections for high-value inventory
30. GOVERNING LAW
These Terms are governed by laws of India.
Jurisdiction: Mumbai, Maharashtra.
31. DISPUTE RESOLUTION
Disputes shall first be attempted through good faith resolution.
Unresolved disputes may proceed to arbitration per Terms of Service.
32. CHANGES
Platform may update these Seller Terms periodically.
Continued participation may constitute acceptance.

Platform may revise fee schedules upon notice as required.

SELLER PERFORMANCE STANDARDS
Seller performance may be evaluated based on:
1. Operational Standards
Including:
- Order acceptance reliability
- Fulfillment timeliness
- Inventory accuracy
- Return handling compliance
2. Quality Standards
May include:
- Rental readiness
- Product condition standards
- Listing quality
- Customer dispute levels
3. Risk Indicators
Repeated issues may include:
- High cancellations
- Misrepresentation incidents
- Counterfeit concerns
- Excessive disputes
- Repeated fulfillment failures
May trigger:
- Coaching
- Restrictions
- Suspension review
4. Seller Tiering (Optional Programs)
Platform may designate performance tiers such as:
- Standard
- Preferred
- Premium
- Managed Partner
Benefits or restrictions may vary.
SCHEDULE C
INVENTORY CONDITION STANDARDS
1. Rental-Ready Condition
Inventory should generally be:
- Clean
- Functional
- Accurate to listing
- Free from undisclosed defects
2. Condition Categories
Standard Acceptable Wear
May be acceptable.
Repair Needed
May require correction before listing.
Non-Compliant Inventory
May be rejected.
3. Specialized Inventory Standards
Additional standards may apply for:
- Couture
- Bridal
- Props
- Production wardrobes
- Archive pieces
4. Warehouse Intake Standards
Inventory may be subject to:
- QC intake review
- Photography requirements
- SKU / QR labeling requirements
- Storage preparation standards
SCHEDULE D
VENDOR PAYOUT & RESERVE POLICY
1. Settlement Timing
Payout timing may depend on:
- Transaction completion
- Return completion (rentals)
- Deposit claim windows
- Fraud screening
- Reserve requirements
2. Reserve Holds
Platform may maintain reserves for:
- Chargeback risk
- Damage claims
- Fraud prevention
- Seller performance risk
Reserves may be temporary or program-specific.
3. Offsets
Platform may offset against payouts amounts reasonably owed including:
- Refunds
- Chargebacks
- Fees
- Damage recoveries
- Contractual amounts due
4. Chargeback Handling
Chargebacks may be reviewed and may affect:
- Current payouts
- Reserve levels
- Seller standing
5. Exceptional Risk Controls
Enhanced reserves or payout controls may apply for:
- High-risk categories
- New sellers
- Elevated dispute patterns
- High-value inventory programs
OPTIONAL ADDENDUM
MANAGED INVENTORY PROGRAM ADDENDUM
(Recommended for Vault-managed sellers)
Where seller elects managed inventory services, supplemental terms may govern:
- Storage
- Lifecycle management
- Rental handling
- Repairs
- Cross-listing rights
- Managed monetization services
Separate program agreement may apply.
ORDER OF PRECEDENCE
If conflict exists:
- Terms of Service
- These Seller Terms
- Attached Schedules
- Program-specific addenda
Unless applicable law requires otherwise.
ENTIRE AGREEMENT
These Seller Terms together with incorporated policies and schedules form the agreement governing seller participation.
