IMPORTANT LEGAL NOTICE
These Seller / Vendor Terms & Conditions (“Seller Terms”) constitute a legally binding and enforceable agreement governing:
- onboarding,
- listing,
- warehousing,
- inventory management,
- rentals,
- sales,
- logistics,
- fulfillment,
- managed services,
- storage,
- operational handling,
- and associated commercial activities
conducted by Sellers through the Platform.
These Seller Terms form an integral part of:
- Platform Terms & Conditions,
- IP & Takedown Policy,
- Rental Terms,
- Privacy Policy,
- Managed Services Agreements,
- Storage Terms,
- Operational Policies,
- Warehouse Rules,
- and all associated contractual documentation.
By onboarding, registering, listing Inventory, storing Inventory, transacting through, or otherwise using the Platform in any Seller capacity, the Seller expressly acknowledges and agrees to be legally bound by these Seller Terms.
1. PARTIES
These Seller Terms are entered into between:
TFCP INFOTAINMENT PRIVATE LIMITED
a company incorporated under the Companies Act, 2013, having its registered office at:

hereinafter referred to as the “Company”;
AND
The Seller / Vendor / Designer / Stylist / Production House / Enterprise / Inventory Owner onboarding onto the Platform (“Seller”).
The Company and Seller are collectively referred to as the “Parties”.
2. DEFINITIONS
2.1 “Inventory”
shall include:
- garments;
- costumes;
- bridal wear;
- luxury goods;
- designer merchandise;
- props;
- accessories;
- footwear;
- jewelry;
- archival materials;
- and associated movable commercial assets.
2.2 “Managed Services”
shall include:
- warehousing;
- QR tagging;
- cataloging;
- photography;
- digitization;
- logistics;
- dispatch;
- fulfillment;
- reverse logistics;
- storage;
- quality control;
- and operational management.
2.3 “Net Transaction Value”
shall mean transaction value excluding:
- GST;
- taxes;
- refunds;
- reversals;
- chargebacks;
- discounts where applicable.
2.4 “Platform”
shall collectively include:
- CostumePeti;
- Vault.rent;
- Vault.Fashion;
- Vault.Wedding;
- Vault.Luxury;
- Seller.CostumePeti.com;
- associated operational systems;
- digital infrastructure;
- warehouse systems;
- QR systems;
- and associated software systems.
3. NATURE OF RELATIONSHIP
3.1 Independent Contractor Relationship
The Seller acknowledges that:
- no partnership;
- agency;
- franchise;
- employment;
- joint venture;
- fiduciary relationship;
shall arise by virtue of these Seller Terms.
The Seller remains an independent commercial entity.
3.2 Marketplace Positioning
The Company may function as:
- intermediary;
- technology provider;
- logistics facilitator;
- managed services provider;
- warehousing operator;
- storage custodian;
- operational facilitator;
depending upon transaction structure.
3.3 No Guaranteed Business
The Company does not guarantee:
- minimum transactions;
- minimum rentals;
- minimum sales;
- profitability;
- visibility;
- or uninterrupted commercial performance.
4. SELLER ELIGIBILITY & ONBOARDING
The Seller represents and warrants that:
- all information furnished is accurate;
- the Seller possesses lawful authority to transact;
- all registrations and licenses required under Applicable Law exist;
- all Inventory listed is lawfully owned or lawfully commercialized.
The Company reserves unrestricted rights to:
- request KYC;
- request GST documentation;
- request PAN;
- request ownership proof;
- request invoices;
- request chain-of-title documentation;
- request production house approvals;
- request authenticity verification;
- reject onboarding;
- suspend onboarding;
- terminate onboarding.
5. INVENTORY OWNERSHIP & TITLE WARRANTIES
5.1 Absolute Seller Responsibility
The Seller irrevocably represents, warrants, and undertakes that:
- the Seller possesses lawful ownership or lawful authorization;
- the Inventory is not stolen;
- the Inventory is not counterfeit;
- commercialization rights lawfully exist;
- no third-party rights are infringed.
5.2 Chain-of-Title
The Seller shall maintain documentary proof regarding:
- ownership;
- sourcing;
- licensing;
- commercialization rights;
- designer permissions;
- production house authorizations;
- and authenticity.
5.3 Production House & Celebrity Inventory
Where Inventory relates to:
- films;
- productions;
- OTT content;
- celebrity wardrobe;
- designer collections;
- branded costumes;
- or studio-linked assets,
the Seller shall possess:
- NOCs;
- commercialization approvals;
- or lawful authorization.
The Seller bears sole responsibility for all associated legal risks.
6. INTELLECTUAL PROPERTY COMPLIANCE
6.1 Prohibited Listings
The Seller shall not upload or commercialize Inventory infringing:
- copyrights;
- trademarks;
- publicity rights;
- personality rights;
- performer rights;
- merchandising rights;
- studio rights;
- character rights;
- design rights;
- proprietary branding rights.
6.2 Counterfeit Goods
The Platform maintains a strict zero-tolerance policy against counterfeit goods.
The Company reserves unrestricted rights to:
- remove listings;
- freeze payouts;
- preserve evidence;
- cooperate with authorities;
- disclose records;
- initiate legal proceedings;
- permanently suspend Sellers.
6.3 Seller Indemnity
The Seller shall indemnify and hold harmless the Company against all:
- infringement claims;
- celebrity rights disputes;
- trademark disputes;
- copyright disputes;
- counterfeit claims;
- production house disputes;
- designer disputes;
- regulatory actions;
arising from Seller conduct or Inventory.
7. INVENTORY STANDARDS
The Seller warrants that Inventory:
- is commercially usable;
- is hygienic;
- is structurally sound;
- is suitable for rentals and/or sales;
- complies with Applicable Law;
- is not materially defective.
The Company reserves rights to reject:
- damaged Inventory;
- unsafe Inventory;
- counterfeit Inventory;
- poor-quality Inventory;
- operationally unsuitable Inventory.
8. MANAGED SERVICES & WAREHOUSING
8.1 Nature of Services
Where Managed Services are utilized, the Company may perform:
- warehousing;
- cataloging;
- photography;
- QR tagging;
- inventory digitization;
- storage;
- dispatch;
- fulfillment;
- reverse logistics;
- quality control;
- and associated operational services.
8.2 Nature of Possession
The Company ordinarily functions as:
- custodian;
- service provider;
- operational facilitator.
Ownership remains with the lawful owner unless otherwise agreed in writing.
8.3 Warehouse Operations
The Seller expressly acknowledges that warehouse operations may involve:
- QR scans;
- metadata;
- warehouse logs;
- timestamps;
- CCTV systems;
- dispatch scans;
- digital audit trails;
- operational software systems.
8.4 Electronic Evidence
The Seller expressly agrees that:
- QR records;
- warehouse logs;
- metadata;
- timestamps;
- dispatch scans;
- CCTV footage;
- operational logs;
- photographs;
- and digital records
shall constitute legally admissible evidence under Applicable Law.
9. COMMISSION & FEES
9.1 Platform Commissions
The Company may charge:
- rental commissions;
- sales commissions;
- handling fees;
- logistics fees;
- warehousing charges;
- storage charges;
- onboarding fees;
- photography fees;
- cataloging fees;
- restoration fees;
- operational fees.
Applicable fee structures may vary depending upon:
- service category;
- inventory category;
- operational model;
- storage structure;
- and commercial arrangements.
9.2 Deductions
The Company reserves rights to deduct:
- commissions;
- penalties;
- operational recoveries;
- refunds;
- damages;
- logistics costs;
- restoration costs;
- legal costs;
- storage dues;
- and associated liabilities
from Seller settlements.
9.3 Taxes
All taxes including GST shall be governed by Applicable Law.
The Seller remains responsible for:
- tax compliance;
- invoicing obligations;
- GST obligations;
- statutory filings.
10. STORAGE CHARGES & LIEN RIGHTS
10.1 Storage Fees
The Company may levy:
- storage charges;
- warehousing fees;
- handling fees;
- restoration fees;
- packaging charges;
- operational charges.
10.2 Lien Rights
The Seller expressly grants the Company a contractual lien over Inventory for:
- unpaid dues;
- operational recoveries;
- legal recoveries;
- storage fees;
- penalties;
- damages.
10.3 Abandoned Inventory
Where Inventory remains unclaimed or dues remain unpaid beyond commercially reasonable periods, the Company reserves rights to:
- suspend access;
- retain possession;
- dispose of Inventory;
- liquidate Inventory;
- recover outstanding dues.
11. LOGISTICS & FULFILLMENT
The Company may utilize:
- internal logistics systems;
- third-party logistics providers;
- operational partners;
- warehouse networks.
Delivery timelines are estimates only.
The Company shall not be liable for:
- logistics delays;
- transport disruptions;
- force majeure events;
- third-party operational failures.
12. DAMAGE, LOSS & LIABILITY
12.1 Damage Framework
Inventory may undergo:
- commercial wear;
- transportation handling;
- operational handling;
- customer usage;
- restoration processes.
The Company shall not be liable for:
- ordinary wear and tear;
- inherent defects;
- fabric aging;
- commercially acceptable deterioration.
12.2 Loss & Insurance
The Seller acknowledges that:
- insurance may not automatically apply;
- uninsured Inventory remains at Seller risk except where loss arises solely from proven gross negligence of the Company.
12.3 Liability Cap
To the fullest extent permissible under Applicable Law, aggregate liability of the Company shall not exceed:
- declared value;
OR - insured value;
OR - actual transaction amount received by the Company,
whichever is lower.
13. QUALITY CONTROL & BINDING DETERMINATIONS
The Seller acknowledges that:
- quality control assessments;
- operational inspections;
- warehouse evaluations;
- metadata;
- photographs;
- digital records;
- and expert operational assessments
may form the basis of operational determinations.
Such determinations shall ordinarily be binding absent manifest error.
14. CONFIDENTIALITY
The Seller shall not disclose:
- operational systems;
- pricing structures;
- warehouse methodologies;
- software systems;
- logistics workflows;
- commercial arrangements;
- business intelligence;
without authorization.
15. PROHIBITED ACTIVITIES
The Seller shall not:
- upload counterfeit Inventory;
- manipulate reviews;
- engage in fraud;
- bypass Platform systems;
- divert customers;
- misuse Platform IP;
- scrape data;
- interfere with operations;
- violate Applicable Law.
16. AUDIT & COMPLIANCE RIGHTS
The Company reserves rights to:
- verify documentation;
- audit Inventory;
- request authenticity proof;
- request compliance records;
- investigate suspicious activity;
- preserve evidence;
- cooperate with authorities.
17. SUSPENSION & TERMINATION
The Company reserves unrestricted rights to:
- suspend accounts;
- freeze settlements;
- remove listings;
- terminate Seller access;
- preserve evidence;
- deny future onboarding;
where reasonably necessary for: - fraud prevention;
- operational safety;
- legal compliance;
- IP protection;
- reputational protection;
- risk mitigation.
18. FORCE MAJEURE
The Company shall not be liable for failures arising from:
- floods;
- fires;
- warehouse incidents;
- cyberattacks;
- pandemics;
- governmental actions;
- logistics failures;
- labor disruptions;
- cloud infrastructure failures;
- internet outages;
- or events beyond reasonable control.
19. LIMITATION OF LIABILITY
To the fullest extent permissible under Applicable Law, the Company shall not be liable for:
- indirect losses;
- loss of profits;
- reputational losses;
- business interruption;
- consequential damages;
- third-party misconduct;
- operational disruptions;
- force majeure events.
20. GOVERNING LAW & ARBITRATION
These Seller Terms shall be governed by the laws of India.
Disputes shall first attempt resolution through good-faith negotiations.
Failing resolution:
- disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996;
- seat and venue: Mumbai;
- language: English.
Courts situated at Mumbai shall possess exclusive supervisory jurisdiction.
