PREAMBLE
These Terms and Conditions (“Terms”) constitute a legally valid, binding, and enforceable agreement executed electronically between TFCP Infotainment Private Limited and any individual, entity, enterprise, production house, stylist, designer, customer, seller, visitor, or other person accessing or using the Platform in any capacity whatsoever.
These Terms govern:
- access to and use of the Platform;
- rentals, purchases, listings, and storage of Inventory;
- marketplace and intermediary activities;
- logistics and fulfillment services;
- warehousing and managed services;
- digital systems and associated operational infrastructure;
- electronic records and digital evidence systems;
- and all ancillary services provided by the Company.
The User acknowledges that:
- electronic acceptance constitutes valid consent under Applicable Law;
- these Terms create legally binding obligations;
- the User has independently evaluated the suitability of the Platform;
- the User voluntarily elects to use the Platform at the User’s own commercial discretion.
1. COMPANY DETAILS
The Platform is owned and operated by:
TFCP INFOTAINMENT PRIVATE LIMITED
a company incorporated under the Companies Act, 2013, having its registered office at:

The Company may operate directly or indirectly through:
- affiliates,
- subsidiaries,
- warehouse operators,
- logistics operators,
- software systems,
- technology systems,
- operational entities,
- related brands,
- authorized service providers,
- and associated ecosystems.
2. DEFINITIONS
Unless the context otherwise requires:
2.1 “Affiliate”
shall mean any entity directly or indirectly controlling, controlled by, or under common control with the Company.
2.2 “Applicable Law”
shall include all:
- statutes,
- enactments,
- regulations,
- notifications,
- circulars,
- directions,
- ordinances,
- judicial precedents,
- regulatory frameworks,
- governmental orders,
- and legal principles
applicable within India and relevant jurisdictions.
2.3 “Customer”
shall mean any individual or entity:
- renting,
- purchasing,
- reserving,
- browsing,
- transacting,
- or otherwise interacting with Inventory or services through the Platform.
2.4 “Inventory”
shall include:
- garments,
- costumes,
- couture,
- accessories,
- props,
- bridal wear,
- luxury goods,
- film wardrobe,
- archival textiles,
- designer merchandise,
- footwear,
- jewelry,
- and all associated movable commercial assets.
2.5 “Managed Services”
shall include:
- warehousing,
- cataloging,
- digitization,
- QR tagging,
- photography,
- scanning,
- inventory management,
- logistics,
- dispatch,
- fulfillment,
- reverse logistics,
- quality control,
- and operational management services.
2.6 “Platform”
shall collectively include:
- websites,
- mobile applications,
- software systems,
- APIs,
- dashboards,
- QR systems,
- warehouse systems,
- AI systems,
- inventory systems,
- operational systems,
- and associated infrastructure operated by the Company.
2.7 “Seller”
shall include:
- vendors,
- designers,
- stylists,
- production houses,
- studios,
- enterprises,
- consignors,
- inventory owners,
- and all entities listing or storing Inventory.
2.8 “User”
shall mean any person accessing or using the Platform in any capacity whatsoever.
3. NATURE OF PLATFORM
3.1 Hybrid Operational Structure
The User acknowledges that the Platform constitutes a hybrid:
- technology-enabled marketplace ecosystem,
- warehousing and storage infrastructure,
- inventory management system,
- logistics and fulfillment ecosystem,
- digital cataloging infrastructure,
- fashion commerce platform,
- luxury rental ecosystem,
- and enterprise inventory services framework.
3.2 Variable Operational Capacity
Depending upon the nature of the transaction or service, the Company may function in one or more capacities including:
- intermediary,
- technology provider,
- logistics facilitator,
- storage operator,
- warehouse custodian,
- managed service provider,
- commercial facilitator,
- or merchant of record.
3.3 No Automatic Ownership Assumption
Unless expressly agreed in writing:
- warehousing,
- digitization,
- cataloging,
- logistics,
- QR tagging,
- or operational management
shall not transfer title or ownership of Inventory to the Company.
4. ELIGIBILITY AND USER REPRESENTATIONS
The User irrevocably represents, warrants, and undertakes that:
- the User possesses legal capacity to contract;
- the User is not barred under Applicable Law;
- all information furnished is accurate and lawful;
- the User possesses lawful authority to bind represented entities;
- all usage of the Platform shall remain lawful.
The Company reserves unrestricted rights to:
- reject registrations;
- request KYC documentation;
- request PAN/GST details;
- request ownership proof;
- request chain-of-title documents;
- request production house authorizations;
- suspend or terminate accounts;
- refuse services without assigning reasons.
5. ACCOUNT REGISTRATION AND SECURITY
The User shall:
- maintain confidentiality of credentials;
- prevent unauthorized access;
- immediately notify unauthorized usage;
- remain liable for all activities under the User account.
The Company shall not be liable for losses arising from compromised credentials except where directly attributable to proven gross negligence of the Company.
6. MARKETPLACE INTERMEDIARY POSITIONING
6.1 Third-Party Listings
The Platform may host listings uploaded by third-party Sellers.
Except where expressly stated:
- the Company does not independently verify all listings;
- the Company does not guarantee authenticity;
- the Company does not guarantee legality;
- the Company does not guarantee merchantability;
- the Company does not guarantee ownership or non-infringement.
6.2 Seller Responsibility
All Sellers remain solely and absolutely responsible for:
- lawful ownership;
- commercialization rights;
- licensing rights;
- rental rights;
- authenticity;
- legality;
- intellectual property compliance;
- and regulatory compliance.
6.3 Intermediary Rights
The Company reserves rights to:
- remove listings;
- suspend accounts;
- freeze payouts;
- demand documentation;
- cooperate with authorities;
- disclose information pursuant to legal process;
- disable access to allegedly infringing material.
7. INTELLECTUAL PROPERTY RIGHTS
7.1 Company Ownership
All rights relating to:
- software,
- APIs,
- QR systems,
- warehouse systems,
- operational systems,
- AI systems,
- prompt systems,
- databases,
- metadata,
- algorithms,
- catalogs,
- photographs,
- videos,
- edited imagery,
- layouts,
- graphics,
- branding,
- trademarks,
- copyrights,
- trade secrets,
- workflows,
- operational methods,
- and associated intellectual property
shall remain the sole property of the Company and/or its licensors.
7.2 Restrictions
The User shall not:
- scrape,
- reverse engineer,
- commercially exploit,
- train AI models using,
- mirror,
- republish,
- data mine,
- archive,
- reproduce,
- or otherwise misuse Platform systems or content.
7.3 AI & Data Usage Restrictions
No User may utilize:
- Platform imagery,
- catalog data,
- metadata,
- product structures,
- AI outputs,
- descriptions,
- visual datasets,
for: - generative AI,
- machine learning,
- model training,
- synthetic dataset generation,
without prior written authorization.
8. CELEBRITY, FILM, DESIGNER, AND CHARACTER RIGHTS
8.1 Prohibited Conduct
The User shall not upload, market, rent, sell, store, or commercialize Inventory infringing:
- copyrights;
- trademarks;
- performer rights;
- publicity rights;
- personality rights;
- film rights;
- studio rights;
- design rights;
- merchandising rights;
- image rights;
- or character rights.
8.2 Seller Warranties
Every Seller irrevocably warrants that:
- the Seller possesses lawful title or authorization;
- all necessary approvals exist;
- no counterfeit Inventory is listed;
- no third-party rights are infringed.
8.3 NOCs and Verification
The Company may require:
- production house NOCs;
- designer approvals;
- invoices;
- authenticity certificates;
- chain-of-title proof;
- commercialization rights documentation;
- licensing proof.
Failure to furnish satisfactory documentation may result in:
- listing removal;
- suspension;
- payment hold;
- termination;
- legal proceedings.
8.4 No Endorsement
Unless expressly stated:
- no celebrity,
- film,
- studio,
- OTT platform,
- designer,
- or brand
endorses or affiliates with the Platform.
9. STORAGE, WAREHOUSING, AND DIGITAL EVIDENCE
9.1 Nature of Possession
Where Inventory is stored with the Company:
- the Company ordinarily functions as a custodian and service provider;
- ownership remains with the lawful owner.
9.2 Operational Systems
The Company may utilize:
- QR scans;
- GPS logs;
- CCTV systems;
- warehouse logs;
- timestamps;
- dispatch scans;
- QC systems;
- digital audit trails;
- photographs;
- metadata systems;
- electronic acknowledgments;
for operational and evidentiary purposes.
9.3 Electronic Evidence
The User expressly agrees that:
- QR scans,
- timestamps,
- warehouse logs,
- CCTV footage,
- metadata,
- photographs,
- audit trails,
- GPS logs,
- and electronic records
shall constitute legally admissible evidence under Applicable Law.
10. RENTALS, RETURNS, DAMAGE, AND DEPOSITS
All rentals remain subject to:
- Rental Terms;
- Damage Policies;
- Deposit Policies;
- Shipping Policies;
- Late Return Policies;
- Seller Terms;
- operational protocols.
Customers shall:
- exercise reasonable care;
- prevent misuse;
- avoid unauthorized alterations;
- return Inventory timely.
The Company may:
- assess damage;
- recover costs;
- retain deposits;
- suspend accounts;
- pursue legal remedies.
11. PROHIBITED ACTIVITIES
Users shall not:
- upload counterfeit goods;
- upload stolen goods;
- impersonate celebrities or brands;
- misuse rentals;
- commit fraud;
- interfere with systems;
- bypass payment systems;
- manipulate reviews;
- scrape data;
- violate Applicable Law.
12. PAYMENTS, SETTLEMENTS, AND RECOVERIES
The Company reserves rights to:
- hold settlements;
- reverse credits;
- offset liabilities;
- freeze payouts;
- deduct operational losses;
- recover dues;
- investigate suspicious activity.
GST and applicable taxes may apply.
13. LIMITATION OF LIABILITY
To the fullest extent permissible under Applicable Law, the Company shall not be liable for:
- indirect losses;
- consequential damages;
- emotional distress;
- reputational harm;
- missed events;
- business interruption;
- loss of profits;
- celebrity association expectations;
- cyber incidents;
- AI inaccuracies;
- operational disruptions;
- third-party misconduct.
Aggregate liability shall not exceed the amount actually received by the Company in relation to the relevant transaction.
14. FORCE MAJEURE
The Company shall not be liable for delays or failures arising from:
- floods;
- fires;
- warehouse incidents;
- cyberattacks;
- pandemics;
- transport failures;
- internet failures;
- labor disruptions;
- governmental actions;
- riots;
- power failures;
- cloud infrastructure failures;
- acts beyond reasonable control.
15. INDEMNITY
The User irrevocably agrees to indemnify and hold harmless the Company against all:
- claims;
- proceedings;
- liabilities;
- penalties;
- losses;
- costs;
- legal expenses;
arising from: - infringement;
- counterfeit Inventory;
- ownership disputes;
- celebrity rights disputes;
- unlawful conduct;
- fraud;
- tax violations;
- contractual breaches;
- misuse of the Platform.
16. CONFIDENTIALITY
Users shall not disclose:
- operational systems;
- warehouse methodologies;
- pricing structures;
- software systems;
- business processes;
- internal workflows;
- confidential commercial information;
without authorization.
17. TERMINATION
The Company reserves unrestricted rights to:
- suspend access;
- remove listings;
- freeze payouts;
- restrict services;
- terminate accounts;
without prior notice where reasonably necessary for: - fraud prevention;
- legal compliance;
- operational safety;
- IP protection;
- reputational protection;
- risk mitigation.
18. GOVERNING LAW, JURISDICTION, AND ARBITRATION
These Terms shall be governed by the laws of India.
Disputes shall first attempt resolution through good-faith negotiations.
Failing resolution:
- disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996;
- seat and venue: Mumbai;
- language: English.
Courts at Mumbai shall possess exclusive supervisory jurisdiction.
19. SEVERABILITY
If any provision is held unenforceable, remaining provisions shall continue in full force.
20. WAIVER
Failure to enforce any provision shall not constitute waiver of rights.
21. SURVIVAL
Clauses relating to:
- IP rights;
- indemnity;
- confidentiality;
- limitation of liability;
- dispute resolution;
- payment obligations;
- data rights;
shall survive termination.
